I love the Austin scene. Austin is the greatest city in America. Choosing an investor partner is important, though. Choosing liveoak will cause you consternation of the likes those below me here have described. It's not that they're a *bad* firm, but they're not one that often *aligns* with the entrepreneur. Typically you'll be forced to re-vest 100% of your stock; you'll be forced to accept their friends or recommendations as senior leadership; you'll get wined and dined but when things really matter it won't be the same. And to boot, they don't have the money for follow on rounds.

I've talked to over a dozen entrepreneurs who have accepted money from liveoak, and all of them had a poison pill forced into their term sheet: Founders must re-vest their stock, starting from scratch. One of the liveoak vc's will then negotiate to pretend that any stock they 'give you' back is a gift. This sets up a terrible conflict of interest where your 30% is theres to take if they can get you out. Buyer beware.
